A foreigner can open a company in two forms: private enterprise (jednoosobowa działność) and community (spółka).

: in order to open a private enterprise (PE) in Poland, a foreigner must have a residence card, a Pole card, an old residence permit, citizenship or a “business harbor” visa for citizens of Belarus. The last point was added to the number of exceptions (in which a foreigner can open a PE) just recently.

EU citizens and their family members also have the right to start a private enterprise.

In other cases, it is practically impossible to open a PE. A rare exception to the rule are entrepreneurs who already have a developed business with large turnovers in other countries. In this case, such a foreigner must have a very powerful business plan, which will outline step by step the actions to develop the business in Poland.

What are the requirements for a founder to open a company

The founder (or founders) of the company must be of legal age, have passports valid for at least 1.5 years and have experience in doing business either in their home country or in Poland.

How to open a spoolka in Poland? Company registration procedure

A company can be registered either by several founders or by a single founder. If you have already decided on the type of company and the type of your activity, you can proceed directly to the opening of a spolka ZOO in Poland. This takes place in several stages:

Drawing up constituent documents

The founders must prepare a memorandum of association and articles of association. These documents, as well as the signatures of all founders, must be notarized.

Formation of authorized capital

The minimum amount of the authorized capital is set by law at 5000 PLN. The share of each founder cannot be less than 1% of the authorized capital.

Submission of documents to KRS

All certified documents and the application for registration are submitted to the Krajowy Rejestr Sądowy, the National Court Registry. In this register your decision to organize a community will be registered and it will be assigned a REGON number. This number is assigned to each newly registered legal entity and is its identifier.

Filing an application with the tax office (Urząd Skarbowy)

Here the created legal entity will be assigned a NIP tax number.

Within seven days after the registration of a legal entity, the CRBR register must include data on individuals holding more than 25% of the firm's shares or decisive votes in the management board. As well as on persons who have direct control and influence over the activities of the company and on whose behalf transactions in the business activities of the company are concluded.


The information about the real beneficiaries of the firm can be entered in the CRBR register by a person who has the legal right to represent the interests of the company.

Registration with ZUS

If your company will employ workers, you must register with the Social Insurance Administration as a social contribution payer by submitting a corresponding application.

Formalization of other attributes of legal operation of the company

This may include the production of a seal, registration of a license, registration of a cash register, etc. - if this is required by the type of activity of your company.
